Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of QRSafePro (the "Service"), operated by Verdorian Technologies LLC ("Company," "we," "us," or "our"), a Tennessee limited liability company. The Service includes the QRSafePro website at qrsafepro.com, all associated QR-based inspection tools, the administrative dashboard, and any related APIs and services.

By creating an account, accessing, or using QRSafePro, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

1. Service Description

QRSafePro is a cloud-based platform that enables organizations to manage equipment inspections, maintain chain-of-custody records, and track compliance through QR code technology. The Service provides:

• QR-Based Inspections: Field workers scan QR codes affixed to equipment to complete digital inspection checklists via a mobile web browser, without needing to download an application.
• Chain-of-Custody Tracking: Two-step equipment transfer logging that records when equipment is dispatched from one location and received at another, with full audit trail.
• Administrative Dashboard: A web-based dashboard for organization administrators to manage equipment, employees, locations, view inspection records, generate reports, and monitor compliance status.
• Photo & GPS Documentation: Capture of photographs and geographic coordinates during inspections and transfers for verification and compliance purposes.
• Employee PIN Management: A PIN-based authentication system for field workers that does not require individual user accounts or email addresses.

2. Accounts & Registration

2.1 Organization Accounts

To use QRSafePro, an authorized representative must register an organization account by providing a valid organization name, administrator name, email address, and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

2.2 Account Security

You agree to: (a) provide accurate and complete registration information; (b) maintain and promptly update your account information; (c) maintain the security of your password and accept responsibility for all activities under your account; and (d) immediately notify us at admin@qrsafepro.com if you discover or suspect any unauthorized use of your account.

2.3 Employee Access

Organization administrators are responsible for managing employee access, including creating and deactivating employee records and PINs. You are responsible for ensuring that only authorized personnel within your organization use the Service. We are not liable for inspections or transfers submitted using valid PINs, regardless of who entered them.

3. Acceptable Use

You agree not to use QRSafePro to:

• Violate any applicable federal, state, local, or international law or regulation.
• Submit false, misleading, or fraudulent inspection records or transfer documentation.
• Attempt to gain unauthorized access to other organizations' data, accounts, or any part of the Service not intended for your use.
• Interfere with or disrupt the integrity, security, or performance of the Service, including attempting to bypass rate limits, authentication mechanisms, or security controls.
• Use automated scripts, bots, or scrapers to access the Service without our prior written consent.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Upload malicious content, viruses, or any material that could damage or impair the Service.
• Use the Service to store or transmit content that infringes on the intellectual property rights of any third party.
• Resell, sublicense, or provide the Service to third parties without our written authorization.

We reserve the right to suspend or terminate your access to the Service immediately and without notice if we determine, in our sole discretion, that you have violated these Terms.

4. Intellectual Property

4.1 Our Intellectual Property

The Service, including all software, code, design, text, graphics, logos, trademarks, and other content created by Verdorian Technologies LLC, is our exclusive property and is protected by United States and international intellectual property laws. "QRSafePro," the QRSafePro logo, and all related names and marks are trademarks of Verdorian Technologies LLC. You may not use our trademarks without our prior written permission.

4.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your organization's internal business purposes during the term of your subscription.

4.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use such feedback for any purpose without obligation to you.

5. Data Ownership

5.1 Your Data

You own your data. All inspection records, transfer logs, equipment data, employee records, photographs, and any other content submitted to QRSafePro by you or your organization's employees ("Customer Data") remains your exclusive property. We do not claim any ownership rights over your Customer Data.

5.2 License to Operate

By using the Service, you grant us a limited license to host, store, process, and display your Customer Data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account, subject to our data retention policy.

5.3 Data Export

You may export your Customer Data at any time through the dashboard's CSV export functionality. Upon written request, we will provide a complete export of all your organization's data in a standard machine-readable format within 30 days.

5.4 Data After Termination

If your account is terminated or canceled, we will retain your Customer Data for 90 days to allow for reactivation or data export. After 90 days, all Customer Data will be permanently deleted from our production systems. You are responsible for exporting any data you wish to retain before or during this 90-day period.

5.5 Aggregate Data

We may create anonymized, aggregated, de-identified data derived from your use of the Service ("Aggregate Data") that does not identify you or your organization. We may use Aggregate Data for any lawful purpose, including analytics, benchmarking, and improving the Service.

6. Subscription & Billing

6.1 Plans

QRSafePro offers subscription plans with varying features, usage limits, and pricing. Plan details, pricing, and feature comparisons are available on our pricing page. All prices are in United States dollars (USD) unless otherwise stated.

6.2 Free Trial

New organizations receive a 14-day free trial with access to core platform features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your access to the dashboard will be restricted, but your data will be preserved for 90 days.

6.3 Payment

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. Payment processing is handled by Stripe. By providing payment information, you authorize us to charge your designated payment method for the applicable subscription fees. You are responsible for keeping your payment information current.

6.4 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle following the notice. Your continued use of the Service after a price change constitutes acceptance of the new price.

6.5 Refunds

Subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to the Service through the end of your current billing period.

7. Cancellation & Termination

7.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting us at admin@qrsafepro.com. Cancellation takes effect at the end of your current billing period. You will retain full access to the Service until that date.

7.2 Termination by Us

We may suspend or terminate your account immediately and without prior notice if: (a) you breach these Terms; (b) your account is used for illegal activity; (c) you fail to pay subscription fees after reasonable notice; or (d) continued provision of the Service to you is no longer commercially viable. We will make reasonable efforts to notify you before or promptly after any termination.

7.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including but not limited to: Data Ownership, Limitation of Liability, Indemnification, and Governing Law.

8. Service Availability & Modifications

8.1 Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure updates, or circumstances beyond our control.

8.2 Modifications to the Service

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time. For material changes that significantly reduce functionality available under your current plan, we will provide at least 30 days' notice.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) inspection records generated through the Service will satisfy all applicable regulatory requirements; or (d) any defects in the Service will be corrected.

9.2 Compliance Disclaimer

QRSafePro is a tool to assist with equipment inspection documentation. We do not guarantee that use of the Service will ensure compliance with OSHA, state, or local safety regulations. You are solely responsible for ensuring that your inspection practices, checklist criteria, and documentation meet all applicable legal and regulatory requirements for your industry and jurisdiction.

9.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VERDORIAN TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; (D) EQUIPMENT FAILURES, ACCIDENTS, OR SAFETY INCIDENTS REGARDLESS OF WHETHER INSPECTIONS WERE CONDUCTED THROUGH THE SERVICE; OR (E) ANY OTHER MATTER RELATED TO THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

10. Indemnification

You agree to indemnify, defend, and hold harmless Verdorian Technologies LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) inspection data or other content submitted through your account; or (e) your organization's failure to comply with applicable safety regulations regardless of use of the Service.

11. Governing Law & Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions.

11.2 Jurisdiction

Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Montgomery County, Tennessee, and you consent to the personal jurisdiction of such courts.

11.3 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at admin@qrsafepro.com. We will attempt to resolve the dispute informally within 60 days. If the dispute is not resolved within 60 days, either party may proceed with formal legal action.

12. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and may notify account administrators via email. Changes become effective upon posting unless we specify a later effective date.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service and cancel your account.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Verdorian Technologies LLC regarding the Service and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, pandemics, acts of government, internet outages, or third-party service failures.
• Notices: We may provide notices to you via email to the address associated with your account or by posting on the Service. You may provide notices to us at the contact information below.
